5. Fees and Payment

All fees for our services are outlined in the service agreement provided to you. Payment terms are as follows:

  • Invoices will be sent upon completion of milestones or on a regular schedule outlined in the service agreement.
  • Payments are due as specified in the invoice, and late fees may apply if payment is not received by the due date.
  • We reserve the right to suspend services for non-payment until outstanding balances are settled.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the term of this agreement. This obligation extends beyond the termination of our services.

7. Intellectual Property

All materials, methodologies, and content developed by Orivane during the course of providing services remain the intellectual property of Orivane, unless otherwise agreed in writing. Clients may not reproduce, distribute, or sell any materials or insights without prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, Orivane shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of our services, including but not limited to loss of profits, data, or other intangible losses, even if we have been advised of the possibility of such damages.

9. Termination

Either party may terminate the services for any reason with written notice to the other party. Upon termination, all outstanding fees shall become immediately due and payable.

10. Dispute Resolution

In the event of a disagreement, we encourage an informal discussion to resolve the matter amicably. Should this not resolve the issue, both parties agree to engage in mediation before pursuing legal action. In case of mediation failure, disputes will be resolved in accordance with the laws of the jurisdiction where Orivane is headquartered.

11. Amendments

Orivane reserves the right to modify these Terms of Service at any time. We will provide notice of material changes through our website or other means of communication. Continued use of our services following such changes indicates your acceptance of the updated terms.

12. Miscellaneous

These Terms of Service form the entire agreement between the parties concerning the subject matter herein and supersede all prior agreements and understandings, whether written or oral. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in effect.
